These Terms of Service (“Terms”) govern your use of the telemedicine services provided by Post Acute Specialists. By using our telemedicine platform, website, phone services, video consultation system, or any related service (collectively, the “Services”), you agree to these Terms.

If you do not agree to these Terms, do not use our Services.

1. Eligibility & Location Requirement

You must be:

• Located physically in the State of Texas at the time of your telemedicine visit.

• Able to give informed consent OR have a legally authorized representative (guardian, caregiver, or healthcare proxy) who may consent on your behalf.

Our Services are intended for adults, including seniors, who require remote medical consultation.

2. Consent to Telemedicine

By using our Services, you expressly consent to receive healthcare via telemedicine, which may include:

• Live video consultations

• Audio-only calls

• Electronic transmission of medical information

You understand and agree that:

• Telemedicine may limit the provider’s ability to conduct a physical examination.

• There may be risks such as incomplete data, technical failures, or miscommunication.

• You may request in-person care at any time if clinically appropriate.

If someone (ex. caregiver or family member) is present during your visit, you authorize their presence.

3. Not a Replacement for Emergency Care

DO NOT use telemedicine for medical emergencies.

If you believe you are experiencing an emergency, call 911 immediately.

4. Practitioner-Patient Relationship & Standard of Care

By using our Services, you may establish a valid practitioner-patient relationship under Texas law.

Our licensed clinicians will:

• Provide care consistent with the standard of care for in-person services

• Determine whether telemedicine is appropriate for your condition

• Refer you to in-person care when necessary

The Company reserves the right to decline or discontinue telemedicine services if we believe your condition requires direct medical attention.

5. Privacy & HIPAA Compliance

We follow all applicable federal and Texas privacy and confidentiality laws, including HIPAA.

By using our Services, you acknowledge that:

• We may collect, store, and transmit your health information as needed for evaluation, treatment, payment, and healthcare operations.

• You will receive or have access to our Notice of Privacy Practices, which explains how your information is used and shared.

You agree not to record audio or video of your visit unless you receive written permission from us.

6. User Responsibilities

You agree to:

• Provide complete and accurate medical information

• Truthfully answer questions during your consultation

• Inform us of any changes in your health or medications

• Use the Services only for lawful purposes

You are responsible for keeping your login credentials private and secure. You must notify us immediately of any unauthorized account access.

7. Prescriptions

If clinically appropriate, licensed providers may prescribe medication in compliance with Texas and federal law.

You understand and agree that:

• Prescriptions are issued only after proper evaluation

• Providers may refuse to prescribe medications deemed inappropriate

• Some medications, including certain controlled substances, cannot be prescribed through telemedicine

Pharmacy choice will be respected unless restricted by law or insurance rules.

8. Fees, Payments & Insurance

You agree to pay all fees associated with your telemedicine visit.

Fees may include:

• Consultation fees

• Follow-up visits

• Prescription or refill fees (if applicable)

Failure to pay may result in suspension of Services.

If using insurance, coverage depends on your insurer’s telemedicine policies. You are responsible for verifying coverage.

9. Technology Requirements

You must have:

• A stable internet connection

• A working phone, smartphone, tablet, or computer

• Any necessary software or apps required for the session

We are not responsible for loss of service due to technical failures outside our control.

10. Limitations of Liability

To the maximum extent permitted by law:

• The Company is not liable for any damages arising from technical failures, incomplete communication, lost data, or delays in care.

• The Company makes no guarantees regarding specific health outcomes.

Your sole remedy for dissatisfaction with the Services is to stop using them.

11. Termination of Services

We may suspend or terminate your access to the Services if:

• You violate these Terms

• You misuse or abuse the platform

• Your medical condition requires in-person evaluation

• Nonpayment or fraudulent activity occurs

You may stop using the Services at any time.

12. Updates to Terms

We may update these Terms periodically.

Continued use of the Services after updates constitutes your acceptance of the revised Terms.

These Terms are governed by the laws of the State of Texas.
